This Exhibit A — Role-Based Network Participation Standards (“Exhibit”) is incorporated by reference into, and forms part of, the Etail Solutions Trading Partner & Network Participation Terms (“Agreement”). Capitalized terms not defined in this Exhibit have the meanings set forth in the Agreement.
Participation in The Distribution Network is conditioned on compliance with the standards set forth below. These standards are designed to support a reliable, efficient, and trusted managed trading and fulfillment network.
All Trading Partners, regardless of role or commercial tier, agree to the following baseline standards:
1.1 Data Accuracy, Integrity & Format
Trading Partners shall provide accurate, complete, and up-to-date data required for participation in the Network, including product, inventory, order, shipment, pricing, and status information relevant to the Trading Partner’s role. Trading Partners shall provide data in the formats and through the connectivity methods specified by Etail during onboarding or as documented in Etail’s integration standards. Trading Partners shall promptly correct known data errors that may materially impact other Trading Partners or Network operations.
1.2 Publish It, Own It
Trading Partners are responsible for ensuring that data published to the Network accurately reflects their current operational commitments. If a Trading Partner is unable or unwilling to fulfill orders for any reason — including a commercial dispute with another Trading Partner — it must promptly adjust its published inventory, pricing, or availability accordingly. Orders accepted based on published data remain the responsibility of the publishing Trading Partner.
1.3 Timely Communication & Responsiveness
Trading Partners shall acknowledge and respond to Orders, exceptions, and operational inquiries in a commercially reasonable timeframe consistent with the Trading Partner’s role. Trading Partners shall cooperate in good faith to resolve issues affecting Network transactions.
1.4 Good-Faith Participation
Trading Partners shall perform obligations in a commercially reasonable manner intended to support successful completion of Network transactions. Trading Partners shall refrain from conduct that intentionally disrupts, delays, or degrades Network operations.
1.5 Network Integrity & Non-Bypass
Trading Partners shall use Network data solely for purposes of conducting transactions through the Services. Trading Partners shall not bypass the Services to conduct substantially similar transactions with Trading Partners introduced through the Network, except as expressly permitted by Etail in writing. The full terms of the non-bypass obligation are set forth in Section 14 of the Agreement.
1.6 Compliance & Security
Trading Partners shall comply with applicable laws and regulations related to participation in the Network. Trading Partners shall maintain reasonable administrative, technical, and physical safeguards to protect data exchanged through the Network.
1.7 Insurance
Trading Partners shall maintain commercially reasonable insurance coverage appropriate to their role and activities within the Network, as further described in Section 17 of the Agreement.
1.8 Cost Responsibility
Where a Network transaction results in a fulfillment error, shipping discrepancy, return, chargeback, or other operational failure, the Trading Partner whose act or omission caused the failure shall bear the associated costs, including but not limited to return shipping, restocking, marketplace chargebacks, and remediation expenses. Etail is not responsible for adjudicating cost disputes between Trading Partners but may provide transactional data through the platform to support resolution.
1.9 Product Recall & Safety
In the event of a product recall, safety alert, or regulatory action affecting products transacted through the Network, the affected Trading Partner shall immediately notify Etail and all connected Trading Partners through the Network, and shall take all necessary steps to prevent further distribution of affected products. Demand-Side Partners shall promptly remove or suspend affected listings on their sales channels. Distribution Partners shall immediately halt shipment of affected products and segregate affected inventory. Etail may, at its discretion, suspend the affected SKUs across the Network to protect Trading Partners and consumers.
In addition to the General Network Participation Standards, all Demand-Side Partners — including brands, sellers, and retailers — agree to:
2.1 Product & Listing Accuracy
Demand-Side Partners shall maintain accurate product identifiers, descriptions, units of measure, and content used for Network transactions. Product availability and representations on sales channels shall align with data received through the Network.
2.2 Order Quality
Demand-Side Partners shall submit complete and accurate Orders using approved Network methods. Demand-Side Partners shall avoid submission of Orders that cannot be fulfilled due to known inaccuracies, constraints, or data that does not align with current Network availability.
2.3 Order Processing
Demand-Side Partners shall receive and process Orders in a commercially reasonable manner consistent with their selected tier and role. Orders routed through the Network shall be fulfilled or passed to appropriate fulfillment systems without intentional delay.
2.4 Inventory Availability
Demand-Side Partners shall receive and publish no more inventory availability than is published to them through the Network. Overstating available inventory on sales channels based on Network data degrades the reliability of the Network for all participants.
2.5 Tracking & Fulfillment Confirmation
Demand-Side Partners shall consume and appropriately use shipment and tracking data provided through the Network, and shall ensure that consumers receive order status updates and tracking information in a timely manner.
2.6 Customer & Channel Responsibility
Demand-Side Partners retain full responsibility for end-customer communications, customer service, returns policies, and issue resolution. The Distribution Network and its Distribution Partners are not responsible for end-consumer customer service unless separately agreed.
2.7 Product Matching
It is the responsibility of the Demand-Side Partner to ensure that the products it is selling on its sales channels are accurately matched to products available through the Network. Incorrect matching that results in wrong-item shipments or fulfillment errors is the responsibility of the Demand-Side Partner.
2.8 Representation of Network Roles
Demand-Side Partners shall maintain clear commercial arrangements with their Trading Partners outside of Etail. Demand-Side Partners shall not misrepresent Etail’s role or responsibilities in Network transactions to end customers, sales channels, or other third parties.
2.9 Seller Fulfilled Prime (SFP) — Demand-Side Obligations
Amazon’s Seller Fulfilled Prime (“SFP”) program enables Demand-Side Partners to display the Prime badge on eligible listings while fulfilling orders through their own distribution network rather than through Fulfillment by Amazon (FBA). SFP Orders carry heightened service level requirements — including specific delivery date commitments, carrier and service level mandates, and accelerated tracking upload timelines — that are materially more demanding than standard Network fulfillment.
SFP fulfillment through The Distribution Network requires a specific, mutual written agreement between the Demand-Side Partner and each participating Distribution Partner. A Demand-Side Partner may not unilaterally enable SFP and route SFP Orders to a Distribution Partner that has not expressly opted into SFP participation. Enabling SFP without a Distribution Partner’s agreement constitutes a breach of this Exhibit.
Such agreement may take the form of an SFP addendum to the applicable Order Form, a countersigned SFP participation confirmation, or other written documentation acceptable to Etail. Verbal agreements or implied consent do not satisfy this requirement.
Demand-Side Partners that submit SFP Orders through the Network are responsible for:
(a) Establishing a specific SFP fulfillment agreement with each Distribution Partner before enabling SFP on any listings fulfilled by that partner;
(b) Correctly flagging Orders as SFP at the time of submission, including the required delivery date, carrier, and service level;
(c) Ensuring that SFP Orders are routed only to Distribution Partners that have opted into SFP participation and have confirmed operational readiness;
(d) Not overstating fulfillment capabilities to Amazon or consumers based on Distribution Partner capacity that has not been confirmed for SFP; and
(e) Bearing responsibility for any marketplace penalties, badge loss, or Buy Box impact resulting from SFP Orders routed to Distribution Partners without a valid SFP agreement in place.
The Distribution Partner service level requirements for SFP fulfillment are set forth in Section 3.4 of this Exhibit.
Distribution Partners are critical operational nodes in the Network and agree to the following additional standards:
3.1 Catalog & Inventory Management
Distribution Partners shall provide accurate and timely product catalog information, including pricing, availability, and relevant product attributes (UPC, manufacturer details, dimensions, weight, and other identifiers). Inventory representations shall reasonably reflect available-to-promise quantities. Inventory accuracy shall be updated and maintained multiple times during the day to maintain commercially reasonable inventory accuracy given normal day-to-day inventory fluctuations.
3.2 Pricing & Availability Updates
Distribution Partners shall provide price and availability updates to the Network on a regular and timely basis as specified during onboarding or in the applicable Order Form.
3.3 Order Processing & Fulfillment
Distribution Partners shall acknowledge Orders and perform fulfillment activities in a timely and commercially reasonable manner, subject to the following service level expectations:

| Backorders & Delays | Distribution Partners must notify The Distribution Network within 4 hours if an order cannot be fulfilled as expected due to inventory shortages, supplier delays, or other operational issues. |
| Order Accuracy | At least 99.5% of orders must be shipped with the correct item, quantity, and packaging. |
| Tracking Uploads | Tracking numbers must be provided to The Distribution Network within 6 hours of shipment. |
| Carrier Compliance | Shipments must use the carrier and service level specified by The Distribution Network or the Demand-Side Partner’s routing instructions. |
| Late Shipment Rate | No more than 2% of total orders may miss the agreed-upon shipping SLA within a given calendar month. |
| Inventory Accuracy | Published inventory availability must be updated multiple times daily to maintain commercially reasonable inventory accuracy given normal day-to-day inventory fluctuations. |
| Catalog Accuracy | SKUs provided must have correct UPC, manufacturer details, dimensions, weight, and other required identifiers. |
3.4 Seller Fulfilled Prime (SFP) Order Requirements
SFP Participation Is Voluntary and Requires Mutual Agreement. Distribution Partners are not required to fulfill SFP Orders. SFP fulfillment through The Distribution Network requires a specific, mutual written agreement between the Demand-Side Partner and the Distribution Partner — either established during onboarding or by subsequent written agreement. No Demand-Side Partner may unilaterally enable SFP and route SFP-designated Orders to a Distribution Partner that has not expressly opted into SFP participation.
A Distribution Partner that has opted into SFP fulfillment is bound by the service levels in this Section 3.4 for all SFP Orders it accepts. A Distribution Partner may withdraw from SFP participation upon thirty (30) days’ written notice to Etail, during which time the Demand-Side Partner must adjust its SFP configuration accordingly.
When a Demand-Side Partner routes SFP-designated Orders through The Distribution Network, Distribution Partners fulfilling those Orders must meet the heightened service level requirements below. SFP Orders carry a specific delivery date commitment made to the end consumer at checkout. Failure by a Distribution Partner to meet these requirements may directly result in the Demand-Side Partner losing its Prime eligibility, Prime badge, or Buy Box placement — causing material commercial harm.
Distribution Partners agree to the following standards for all Orders flagged as SFP:

| Deliver-By Date Compliance | Each SFP Order carries a specific delivery date commitment. The Distribution Partner must ship each SFP Order with sufficient lead time — using the specified carrier and service level — to meet the delivery date shown to the consumer. |
| Carrier & Service Level | SFP Orders specify the exact carrier and service level required. Distribution Partners must ship using the designated carrier and service — no substitutions are permitted unless expressly authorized by the Demand-Side Partner or Etail. |
| Tracking Upload | Valid tracking information must be provided to The Distribution Network within 30 minutes of shipment for SFP Orders, or such other timeframe as mutually agreed during SFP onboarding, provided that any extended timeframe must still meet the marketplace’s tracking upload requirements. Delayed tracking uploads may cause the Order to be flagged as late by the marketplace. |
| Weekend & Extended Fulfillment | If SFP delivery commitments require weekend or holiday fulfillment, Distribution Partners that have opted into SFP participation must maintain operational capability to ship on those days as agreed during onboarding. |
| On-Time Delivery Rate | Distribution Partners must maintain an on-time delivery rate of at least 93.5% for SFP Orders, measured on a rolling 30-day basis. This metric is based on the carrier delivering by the committed delivery date. |
| Cancellation Rate | Distribution Partners must maintain a pre-fulfillment cancellation rate below 0.5% for SFP Orders. Cancellations due to inventory discrepancies count against this threshold. |
Performance Review. If a Distribution Partner’s SFP performance falls below the thresholds in this Section 3.4 for two (2) consecutive months, Etail may, after consultation with the Distribution Partner, suspend that partner’s eligibility to receive SFP Orders until performance is restored. This does not affect the Distribution Partner’s participation in standard Network fulfillment.
Accelerated Action. Notwithstanding the two-month threshold above, Etail may initiate corrective action or suspend a Distribution Partner’s SFP eligibility on an accelerated basis if performance deficiencies create imminent risk to a Demand-Side Partner’s marketplace standing, including but not limited to risk of Prime badge loss, Buy Box suppression, or account-level enforcement by the marketplace. In such cases, Etail will notify the Distribution Partner of the deficiency and the basis for accelerated action.
3.5 Commercial Relationship Obligations
Distribution Partners shall use commercially reasonable efforts to evaluate and establish a commercial relationship with Demand-Side Partners connected to them through the Network. Distribution Partners shall respond to commercial relationship inquiries from connected Demand-Side Partners within thirty (30) days and shall engage in good-faith commercial negotiations. This obligation requires timely engagement, not agreement to specific commercial terms. The terms of such commercial relationships — including pricing, payment, credit, and returns — are between the Trading Partners and are not governed by this Agreement.
3.6 Operational Cooperation
Distribution Partners shall cooperate with Etail and Demand-Side Partners to investigate and resolve fulfillment exceptions, shipping discrepancies, and customer complaints. Distribution Partners shall meet any additional performance standards or service levels set forth in applicable Order Forms or SLA exhibits.
4.1 Non-Compliance
Failure to meet the standards set forth in this Exhibit for two (2) consecutive months, or exceeding the permitted thresholds specified herein, will trigger a corrective action process.
4.2 Corrective Action Process
If a Trading Partner fails to meet the standards in this Exhibit, Etail will notify the Trading Partner in writing and the Trading Partner shall have fifteen (15) business days to submit a corrective action plan. Etail will work collaboratively with the Trading Partner to address the deficiency. Continued non-compliance after the corrective action period may result in suspension or termination of Network participation as described in the Agreement.
4.3 Right to Audit
Etail reserves the right to audit fulfillment performance, inventory reporting, and data accuracy to ensure compliance with these standards. Audit-related activities may be billed as professional services time if they exceed what is available through standard platform reporting.
5.1 Standards Management
Etail may modify these Network Participation Standards from time to time to reflect evolving operational, technical, or governance requirements of The Distribution Network, provided that such changes are not retroactively punitive and are communicated to Trading Partners in advance where practicable.
5.2 Enforcement
Failure to comply with these standards constitutes a breach of the Agreement and may result in remedial action, including warnings, temporary suspension, restriction, or termination of Network participation.
These standards establish expectations for participation but do not constitute a guarantee of fulfillment performance, transaction success, or commercial outcomes. Etail does not assume responsibility for the acts or omissions of Trading Partners.
